Duke Lawsuit Puts Enforcement of NIL Contracts on Trial

Whether Name-Image-Likeness deals are binding employment contracts or just marketing agreements that college athletes can sever at will sits at the center of a high-stakes legal fight between Duke University and its star quarterback, Darian Mensah. The outcome of the case, should it go to trial, could shape how name, image, and likeness agreements are enforced during an unprecedented revenue-sharing era in college sports.A superior court judge in Durham County granted Duke’s request for a temporary restraining order blocking Mr. Mensah from enrolling or contracting with another school until a court hearing scheduled for early February. The ruling comes after Duke filed a lawsuit seeking to prevent Mr. Mensah from entering the college transfer portal and signing with another program, arguing that he must honor his current NIL contract with Duke signed last summer.Mr. Mensah, whose contract with Duke reportedly runs through December 31, 2026, initially said he was returning to play for the Blue Devils, but changed his mind just hours before the portal’s entry window closed on January 16. He is rumored to be interested in Miami and the feeling is mutual.His sudden decision to seek a transfer comes after he delivered one of the most productive seasons in the Bowl Subdivision. The Tulane transfer threw for 3,973 yards and 34 touchdowns to rank second nationally in both categories. His performance would make him one of the most sought-after quarterbacks in the portal.While an initial request by Duke to keep Mr. Mensah from entering the transfer portal was denied, the latest order freezes his ability to enter an agreement with another program until the next hearing.At stake is more than one quarterback’s future. “At its core, this is a simple case that involves the integrity of contracts,” Duke’s complaint states.An Ohio-based sports attorney active in the NIL space, Luke Fedlam, said the lack of “overarching guardrails” for NIL makes it ripe for litigation.“No organization, school or business or anyone else wants to have a contract that can get broken whenever someone feels like it and they’re stuck with no one believing their contracts are worth anything,” Mr. Fedlam, of Amundsen Davis Attorneys, tells the Sun. “And from the student athlete’s perspective, they see coaches who are under contract all the time, but then another school comes around offering more money and the coaches leave. This lawsuit and others continue to highlight that the industry needs some overarching guardrails. That’s not easy to do.”Quarterback is the highest paid position for NIL deals, with top schools offering millions to lure elite talent to their schools. Money talks. Dante Moore decided to remain at Oregon, where he made $3 million last season, instead of turning pro. Ditto for Bryce Underwood at Michigan. Most quarterbacks are looking for more money at bigger schools with better competition.It’s a frenzy that isn’t going to cool after Fernando Mendoza transferred from Cal to win the Heisman Trophy and a national championship during his only season at Indiana.Mr. Mensah, whose deal at Duke is estimated to be worth around $7.5 million, initially announced plans to return to the school after leading the Blue Devils to the Atlantic Coast Conference title. But he reversed course and began exploring a transfer, triggering legal action from the university.Duke’s complaint argues that its contract with Mr. Mensah, signed in July 2025, paid him for exclusive rights to his name, image and likeness in connection with playing football for the school, a traditional basketball power. According to the filing, the agreement also requires disputes to be resolved through arbitration before either side can see relief in court. Mr. Mensah is challenging whether such a contract can be enforced to restrict his movement.The Mensah-Duke dispute is not occurring in isolation. As collectives and universities commit millions in guaranteed compensation to college athletes, they are increasingly treating NIL agreements as enforceable business contracts rather than handshake marketing deals.The university and other athletic departments around the country fear that without enforceable contracts, the NIL system becomes chaotic, discouraging long-term investment in athletes and destabilizing competitive balance.Athletes and their legal advocates counter that treating NIL agreements like employment contracts undermines player freedom in a system where they still lack formal employee protections, collective bargaining rights or standardized contract terms.Earlier this month, Washington quarterback Demond Williams announced that he intended to transfer before changing his mind two days later amid reports that the school was prepared to pursue legal action to enforce his $4 million NIL agreement.In December, Missouri pass rusher Damon Wilson II filed a lawsuit alleging Georgia’s athletic department was illegally attempting to punish him for entering a transfer portal that lists 3,300 players, according to On3. Mr. Wilson has drawn widespread interest and is making official visits to Texas Tech and Miami while the lawsuit plays out.With the NCAA retreating from enforcement responsibilities, the courts are being asked to fill the regulatory vacuum and create a bidding roadmap amid the slow pace of legislative action. Judges, with little precedent to research, must decide whether NIL agreements carry the same weight as professional sports contracts.A ruling in favor of Duke would give NIL contracts teeth and empower schools to pursue multi-year deals to limit their vulnerability to transfers. A ruling favoring Mr. Mensah would give players more flexibility.The timing of Mr. Mensah’s decision to leave Duke is critical. Coming just days before the portal closed, his announcement put Duke in the difficult position of finding his replacement when many of the top quarterbacks are committed elsewhere.“If a school has a student athlete that’s committed to them and suddenly decides to leave at the last minute, now it’s the institution that’s stuck trying to find a replacement,” Mr. Fedlam said. “And if the transfer portal is closed, certainly they’re going to try to do everything they can to enforce their contracts.”Mr. Fedlam said he wouldn’t be surprised if Mr. Mensah and Duke reach a settlement — probably for more NIL money — before the scheduled hearing. “Ultimately, maybe they will get to that place where he gets the payment that he’s looking for and is able to stay at Duke,” he said.Judge Michael O’Foghludha, who issued the temporary restraining order, won’t preside over the hearing next month. He reportedly is a Duke basketball season-ticket holder and has recused himself from future proceedings.While the outcome of these cases remain uncertain, one thing is clear: in this new phase of college sports, lawyers and judges, not just coaches and recruiters, are becoming central figures in roster management.
